1. AGREEMENT TO TERMS

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and [ON THE BOX ENTITY NAME], an Illinois limited liability company ("On The Box," "OTB," "Company," "we," "us," or "our"), governing your access to and use of the On The Box platform, including the website located at [www.onthebox.golf] (the "Site"), mobile applications, and all related services (collectively, the "Platform").

By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional terms, rules, or guidelines applicable to specific features or promotions posted on the Platform (collectively, the "Agreement"). If you do not agree to these Terms, you must not access or use the Platform.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email to the address associated with your account or by prominent notice on the Platform at least fourteen (14) days before they take effect. Your continued use of the Platform after the effective date of any modification constitutes acceptance of the updated Terms.

2. PLATFORM DESCRIPTION

2.1 Overview

On The Box is a fantasy golf league management platform that provides tools for users to create, administer, and participate in fantasy golf leagues tied to professional PGA Tour tournaments. League administrators ("League Admins") organize leagues, set league parameters, and manage their participants. Participants ("Players") join leagues, select PGA Tour golfers within a salary cap structure, and compete based on their selected golfers' actual PGA Tour purse earnings as reflected on the Platform's leaderboards and standings.

2.2 Platform Role — Technology Provider Only

On The Box provides the technology platform, scoring infrastructure, and data services that enable league administration and gameplay. Specifically, the Platform:

  • Provides league creation, configuration, and management tools to League Admins;
  • Facilitates player selection, salary cap enforcement, and automated scoring based on real PGA Tour tournament results;
  • Displays leaderboards, standings, and weekly results;
  • Delivers notifications, pick reminders, and communications related to league activity; and
  • Collects a Platform Fee (as defined in Section 5) for access to these services.

2.3 What On The Box Does NOT Do

On The Box does not operate as a daily fantasy sports ("DFS") operator, sportsbook, or gambling platform. The Platform is a league management tool only. Specifically:

  1. (a) On The Box does not collect, hold, or distribute entry fees, prize pools, wagers, or winnings of any kind;
  2. (b) On The Box does not set odds, determine wagering lines, or operate contests for profit beyond the Platform Fee;
  3. (c) On The Box does not facilitate, process, or intermediate any financial transactions between Users related to league prizes, side bets, or payouts; and
  4. (d) Any entry fees, prize pools, or payouts arranged by League Admins among their Players are conducted entirely outside the Platform and are solely the responsibility of the League Admin and participating Players.

On The Box has no liability, responsibility, or involvement in any financial arrangements between League Admins and Players, including but not limited to the collection of entry fees, the distribution of prizes, or any disputes arising from such arrangements.

2.4 Data Sources

Golfer pricing is derived from the Official World Golf Ranking ("OWGR") points system. Scoring is based on actual PGA Tour purse earnings as reported by third-party data providers. While we strive for accuracy, On The Box does not guarantee the completeness, timeliness, or accuracy of third-party data and is not responsible for errors or delays in data provided by external sources.

3. ELIGIBILITY

3.1 Age Requirement

You must be at least eighteen (18) years of age to create an account or use the Platform. In jurisdictions where the minimum age for participation in skill-based contests is higher than eighteen (18), you must meet the applicable minimum age requirement. By using the Platform, you represent and warrant that you meet the applicable age requirement.

3.2 Geographic Restrictions

The Platform is available only to users physically located in jurisdictions where fantasy sports competitions are permitted under applicable law. You may not access or use the Platform if you are located in a state or jurisdiction where participation in fantasy sports contests is prohibited or restricted by law.

The following U.S. states are currently restricted: Arizona, Hawaii, Idaho, Louisiana (varies by parish), Montana, Nevada, and Washington. This list may be updated at any time without prior notice as legal and regulatory conditions change.

You represent and warrant that you are not located in a restricted jurisdiction when accessing or using the Platform. On The Box reserves the right to verify your location through reasonable means, including but not limited to IP-based geolocation and self-certification during registration, and to suspend or terminate accounts that violate geographic restrictions.

3.3 Additional Eligibility Requirements

You represent and warrant that:

  1. (a) You are a natural person creating an account for your own personal use;
  2. (b) All information you provide during registration and at any time thereafter is truthful, accurate, and complete;
  3. (c) You will maintain the accuracy of such information;
  4. (d) You are not an employee, officer, director, or contractor of On The Box or any of its affiliates, nor an immediate family member or household member of such person;
  5. (e) You will not create more than one (1) account on the Platform; and
  6. (f) Your use of the Platform does not violate any applicable law, regulation, or obligation to a third party.

4. ACCOUNT REGISTRATION AND SECURITY

4.1 Account Creation

To use the Platform, you must create an account by providing a valid email address, creating a password that meets our security requirements (minimum ten characters, at least one number, and at least one special character), and providing a display name. You may be required to verify your email address before accessing Platform features.

4.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

  1. (a) Notify us immediately at [support@onthebox.golf] of any unauthorized use of your account or any other breach of security;
  2. (b) Not share your account credentials with any third party; and
  3. (c) Not use another User's account without express permission.

On The Box will not be liable for any loss or damage arising from your failure to protect your account credentials.

4.3 Account Suspension and Termination

We reserve the right to suspend or terminate your account, at our sole discretion, with or without notice, for any reason, including but not limited to:

  1. (a) Violation of these Terms;
  2. (b) Fraudulent, abusive, or unlawful activity;
  3. (c) Creating multiple accounts;
  4. (d) Use of automated systems, bots, or scripts to interact with the Platform;
  5. (e) Collusion with other Users to manipulate league outcomes;
  6. (f) Failure to meet eligibility requirements; or
  7. (g) Prolonged inactivity exceeding twelve (12) months.

5. PLATFORM FEE AND PAYMENT

5.1 Platform Fee

On The Box charges a Platform Fee of four dollars ($4.00) per Player per week for each tournament week in which a league is active (the "Platform Fee"). The Platform Fee is the sole fee charged by On The Box and is the cost of accessing the Platform's league management, scoring, and leaderboard services.

The Platform Fee is disclosed to the League Admin at the time of league creation, before any league invitations are sent or Players are enrolled. League Admins are responsible for communicating the Platform Fee to prospective Players so that Players understand the cost of participation on the Platform.

5.2 When the Platform Fee Is Charged

The Platform Fee is charged to each Player upon joining and being approved for a league, or at the start of each active tournament week for returning league members, as applicable. Payment is processed through our third-party payment processor, Stripe, Inc. ("Stripe").

5.3 Payment Processing

All Platform Fee payments are processed through Stripe. By making a payment on the Platform, you agree to Stripe's terms of service and privacy policy. On The Box does not store credit card numbers or sensitive payment credentials on its servers.

You represent and warrant that you are authorized to use the payment method you provide and that all payment information is accurate and complete.

5.4 Fee Modifications

The Platform Fee is non-negotiable and applies uniformly to all leagues on the Platform. On The Box reserves the right to modify the Platform Fee upon thirty (30) days' written notice to League Admins. Any fee change will apply only to league weeks commencing after the effective date of the change and will not apply retroactively to leagues already in progress for that week.

5.5 Refund Policy

Platform Fees are non-refundable once a tournament week has commenced (defined as the first scheduled tee time of the applicable PGA Tour tournament for that week).

Platform Fees may be refunded under the following limited circumstances:

  1. (a) A league is cancelled or dissolved by the League Admin prior to the commencement of the tournament week;
  2. (b) A PGA Tour tournament is cancelled in its entirety (not merely postponed or shortened);
  3. (c) A Player is removed from a league by the League Admin prior to the commencement of the tournament week; or
  4. (d) On The Box determines, in its sole discretion, that a refund is warranted due to a Platform error or technical failure that materially prevented a Player from using the Platform during the applicable tournament week.

Refund requests must be submitted to [support@onthebox.golf] within fourteen (14) days of the event giving rise to the request. Approved refunds will be credited to the original payment method and may take five to ten (5–10) business days to process.

5.6 No Involvement in Entry Fees, Prize Pools, or Payouts

On The Box does not collect, hold, escrow, distribute, or facilitate entry fees, prize money, or payouts of any kind. Any financial arrangements between League Admins and Players — including but not limited to entry fees, buy-ins, side pots, prize pools, and payout distributions — are conducted entirely outside the Platform and are solely the responsibility of the parties involved.

On The Box strongly encourages League Admins who choose to collect entry fees from their Players to clearly communicate all financial terms to Players before the league begins, and to handle all such transactions through separate, trusted payment methods. On The Box bears no responsibility or liability for any disputes, losses, or claims arising from off-platform financial arrangements between Users.

5.7 Taxes

Users are solely responsible for determining and fulfilling any tax obligations arising from their use of the Platform or from any off-platform financial arrangements related to league participation. On The Box does not provide tax advice, and Users are encouraged to consult a qualified tax professional regarding their obligations.

6. LEAGUE ADMINISTRATION

6.1 League Admin Responsibilities

League Admins are responsible for:

  1. (a) Setting league parameters at the time of creation, including salary cap, maximum Players, maximum golfer picks per week, and payout structure (if applicable to off-platform arrangements);
  2. (b) Reviewing and approving or rejecting Player join requests;
  3. (c) Communicating league rules, expectations, and any supplemental rules to their Players — including any off-platform entry fees or financial arrangements;
  4. (d) Managing league membership, including removing or banning Players when warranted;
  5. (e) Handling all entry fee collection and prize distribution off-platform, if applicable; and
  6. (f) Ensuring that the league operates in compliance with these Terms and all applicable laws and regulations.

6.2 League Admin Limitations

League Admins may not:

  1. (a) Use the Platform to collect, hold, or distribute entry fees or prize money (all such transactions must occur off-platform);
  2. (b) Represent or imply that On The Box endorses, guarantees, or is responsible for any off-platform financial arrangements;
  3. (c) Participate as a Player in their own league while also serving as League Admin, unless the league rules disclosed to all Players at the time of joining expressly permit this and the league has a minimum of four (4) other Players;
  4. (d) Use their administrative access to view other Players' picks before the pick lock deadline; or
  5. (e) Engage in any conduct designed to manipulate league outcomes or disadvantage specific Players.

6.3 Disputes Between League Members

On The Box is not a party to disputes between League Admins and Players or among Players within a league, whether related to gameplay or off-platform financial arrangements. While we may, in our sole discretion, investigate disputes related to Platform integrity brought to our attention, we are under no obligation to do so and have no authority over off-platform matters.

In cases where On The Box determines that a League Admin has acted in bad faith, violated these Terms, or engaged in conduct detrimental to the integrity of the Platform, On The Box reserves the right to take corrective action, including but not limited to suspending the League Admin's account or dissolving the league.

7. GAMEPLAY RULES

7.1 Pick Selection

Players select golfers for each tournament week within the parameters set by their league (salary cap, maximum number of picks). All picks must be submitted before the applicable pick lock deadline, which corresponds to the first scheduled tee time of the PGA Tour tournament for that week, unless otherwise specified.

7.2 Pick Locking

Once the pick lock deadline has passed, picks are final and may not be changed, except:

  1. (a) If a selected golfer officially withdraws from the tournament before the first round begins, the Player may be permitted to substitute an alternate golfer, subject to salary cap constraints, until an adjusted deadline determined by the Platform; or
  2. (b) In the event of a Platform error that prevented a Player from submitting or modifying picks before the deadline, as determined by On The Box in its sole discretion.

7.3 Scoring

Scoring is based on the actual PGA Tour purse earnings of each Player's selected golfers for the applicable tournament. Purse earnings are used as the scoring currency on the Platform's leaderboards and standings. Golfers who miss the cut, withdraw, or are disqualified during a tournament earn zero dollars ($0) in purse earnings for scoring purposes unless official prize money is awarded by the PGA Tour.

7.4 Standings and Results

League standings are determined by the total purse earnings of each Player's selected golfer roster for the applicable tournament week. In the event of a tie, the tie-breaking methodology will be determined by Platform default rules (highest-earning individual golfer among tied Players' rosters), unless the League Admin has specified an alternative tie-breaking rule at the time of league creation.

Final results are subject to verification following the conclusion of the PGA Tour tournament and confirmation of official purse distribution. On The Box reserves the right to adjust results and standings to correct errors within seventy-two (72) hours of initial posting.

7.5 Tournament Cancellations and Modifications

If a PGA Tour tournament is shortened (e.g., reduced from four rounds to three due to weather), results will be based on the official PGA Tour purse distribution for the shortened event. If a tournament is cancelled entirely and no official purse is distributed, no standings will be generated for that week and Platform Fees for that week will be refunded in accordance with Section 5.5.

8. PROHIBITED CONDUCT

You agree not to:

  1. (a) Use the Platform for any unlawful purpose or in violation of any applicable law or regulation;
  2. (b) Create multiple accounts or use another person's account;
  3. (c) Provide false, misleading, or inaccurate information during registration or at any time;
  4. (d) Use automated scripts, bots, crawlers, or other automated means to access the Platform or extract data;
  5. (e) Attempt to circumvent geographic restrictions, age verification, or any security measures;
  6. (f) Interfere with or disrupt the Platform, servers, or networks connected to the Platform;
  7. (g) Collude with other Users to manipulate league outcomes, share pick information before lock deadlines, or otherwise undermine fair competition;
  8. (h) Harass, threaten, or abuse other Users through the Platform;
  9. (i) Use the Platform to facilitate illegal gambling, money laundering, or any form of financial fraud;
  10. (j) Reverse engineer, decompile, or disassemble any aspect of the Platform;
  11. (k) Scrape, harvest, or collect data from the Platform without express written permission;
  12. (l) Use the Platform in any manner that could damage, disable, overburden, or impair it; or
  13. (m) Assist, encourage, or enable any third party to do any of the foregoing.

9. INTELLECTUAL PROPERTY

9.1 Platform Ownership

The Platform, including all content, features, functionality, software, text, graphics, logos, icons, images, audio, and the overall design and arrangement thereof, is the exclusive property of On The Box or its licensors and is protected by United States and international copyright, trademark, trade dress, patent, and other intellectual property laws.

9.2 Limited License

Subject to your compliance with these Terms, On The Box grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial use in connection with participating in fantasy golf leagues.

9.3 Restrictions

You may not:

  1. (a) Copy, modify, distribute, sell, or lease any part of the Platform;
  2. (b) Reverse engineer or attempt to extract the source code of the Platform;
  3. (c) Use any On The Box trademarks, logos, or branding without prior written consent; or
  4. (d) Use PGA Tour, OWGR, or other third-party trademarks or data obtained through the Platform for any purpose other than personal participation in leagues on the Platform.

9.4 Third-Party Content and Trademarks

PGA Tour, OWGR, and the names, likenesses, and statistics of professional golfers are the property of their respective owners. On The Box's use of such data is for informational and entertainment purposes in connection with the Platform. On The Box is not affiliated with, endorsed by, or sponsored by the PGA Tour, the Official World Golf Ranking, or any professional golfer unless expressly stated.

10. PRIVACY

Your use of the Platform is subject to our Privacy Policy, which is incorporated by reference into these Terms. The Privacy Policy describes how we collect, use, disclose, and protect your personal information. By using the Platform, you consent to the practices described in the Privacy Policy.

11. DISCLAIMERS

11.1 "As Is" Basis

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ON THE BOX DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11.2 Third-Party Data

ON THE BOX RELIES ON THIRD-PARTY DATA PROVIDERS FOR GOLFER RANKINGS, TOURNAMENT RESULTS, AND PURSE EARNINGS. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR TIMELINESS OF SUCH DATA. SCORING AND RESULTS ARE BASED ON INFORMATION AVAILABLE TO US AND MAY BE SUBJECT TO CORRECTION OR ADJUSTMENT.

11.3 No Guarantee of Outcomes

ON THE BOX DOES NOT GUARANTEE ANY SPECIFIC LEAGUE OUTCOME. FANTASY GOLF INVOLVES ELEMENTS OF SKILL AND UNCERTAINTY. PURSE EARNINGS DISPLAYED ON LEADERBOARDS ARE FOR SCORING PURPOSES ONLY AND DO NOT REPRESENT MONEY OWED TO OR EARNED BY USERS FROM ON THE BOX.

11.4 No Responsibility for Off-Platform Arrangements

ON THE BOX HAS NO INVOLVEMENT IN, AND DISCLAIMS ALL LIABILITY FOR, ANY ENTRY FEES, PRIZE POOLS, PAYOUTS, OR OTHER FINANCIAL ARRANGEMENTS BETWEEN USERS CONDUCTED OUTSIDE THE PLATFORM. ANY SUCH ARRANGEMENTS ARE SOLELY BETWEEN THE PARTICIPATING USERS AND AT THEIR OWN RISK.

11.5 Internet and Technology Risks

ON THE BOX IS NOT RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER, MOBILE DEVICE, OR OTHER EQUIPMENT RESULTING FROM YOUR USE OF THE PLATFORM, OR FOR ANY FAILURE, INTERRUPTION, OR DELAY IN THE PLATFORM ARISING FROM EVENTS BEYOND OUR REASONABLE CONTROL, INCLUDING BUT NOT LIMITED TO INTERNET OUTAGES, EQUIPMENT FAILURES, OR FORCE MAJEURE EVENTS.

12. LIMITATION OF LIABILITY

12.1 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ON THE BOX, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM.

12.2 Aggregate Limit

ON THE BOX'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT OF PLATFORM FEES PAID BY YOU TO ON THE BOX IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

12.3 Exclusion of Off-Platform Losses

ON THE BOX SHALL HAVE NO LIABILITY WHATSOEVER FOR ANY LOSSES, DAMAGES, OR CLAIMS ARISING FROM OFF-PLATFORM FINANCIAL ARRANGEMENTS BETWEEN USERS, INCLUDING BUT NOT LIMITED TO UNPAID ENTRY FEES, DISPUTED PRIZE DISTRIBUTIONS, OR FAILURE BY A LEAGUE ADMIN TO PAY OUT WINNINGS.

12.4 Basis of the Bargain

THE LIMITATIONS IN THIS SECTION REFLECT A REASONABLE ALLOCATION OF RISK AND ARE A FUNDAMENTAL PART OF THE BASIS OF THE BARGAIN BETWEEN YOU AND ON THE BOX. ON THE BOX WOULD NOT PROVIDE THE PLATFORM WITHOUT THESE LIMITATIONS.

13. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless On The Box, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  1. (a) Your use of the Platform;
  2. (b) Your violation of these Terms;
  3. (c) Your violation of any applicable law or regulation;
  4. (d) Your violation of any rights of a third party;
  5. (e) Any content you submit, post, or transmit through the Platform;
  6. (f) Your league administration activities, including any off-platform financial arrangements with Players; or
  7. (g) Any disputes between you and other Users arising from off-platform entry fees, prize pools, or payout arrangements.

14. DISPUTE RESOLUTION

14.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact On The Box at [support@onthebox.golf] and attempt to resolve the dispute informally for a period of at least thirty (30) days.

14.2 Binding Arbitration

If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, as modified by these Terms. The arbitration shall take place in Chicago, Illinois, or, at your election, may be conducted by telephone or online. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

14.3 Class Action Waiver

YOU AND ON THE BOX AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST ON THE BOX.

14.4 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

14.5 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of laws principles.

15. RESPONSIBLE PLAY

15.1 Commitment to Responsible Play

On The Box is committed to promoting responsible play. While our Platform is a league management tool that does not handle prize money or payouts, we recognize the importance of healthy participation habits in all forms of competitive entertainment.

15.2 Self-Exclusion

If you wish to limit or cease your participation on the Platform, you may request account suspension or permanent closure at any time by contacting [support@onthebox.golf]. Self-exclusion requests will be processed within forty-eight (48) hours.

15.3 Resources

16. COMMUNICATIONS

16.1 Platform Communications

By creating an account, you consent to receive electronic communications from On The Box related to your account and Platform activity, including but not limited to account verification emails, pick deadline reminders, league updates, tournament results, and payment confirmations. These transactional communications are a necessary part of the Platform and cannot be opted out of while your account is active.

16.2 Marketing Communications

We may send promotional or marketing communications with your consent. You may opt out of marketing communications at any time by using the unsubscribe link in any marketing email or by updating your notification preferences in your account settings.

17. THIRD-PARTY SERVICES

The Platform integrates with or may contain links to third-party services, including Stripe for payment processing and third-party data providers for golf statistics. On The Box does not control, endorse, or assume responsibility for any third-party services. Your use of third-party services is subject to their respective terms and policies. On The Box shall not be liable for any loss or damage caused by your reliance on or use of third-party services.

18. FORCE MAJEURE

On The Box shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from events beyond our reasonable control, including but not limited to natural disasters, acts of government, pandemic, war, terrorism, labor disputes, power failures, internet disruptions, or third-party service outages.

19. GENERAL PROVISIONS

19.1 Entire Agreement
